WebTrust Subscriber Agreement

YOU MUST READ THIS SUBSCRIBER AGREEMENT BEFORE APPLYING FOR, ACCEPTING, OR USING A DIGITAL ID CERTIFICATE. IF YOU DO NOT AGREE TO THE TERMS OF THIS SUBSCRIBER AGREEMENT, DO NOT APPLY FOR, ACCEPT, OR USE THE DIGITAL ID (CERTIFICATE).


THIS SUBSCRIBER AGREEMENT will become effective on the date you submit the certificate application to the designated issuing authority (IA). By submitting this Subscriber Agreement (and certificate application) you are requesting that the IA issue a Digital ID (certificate) to you and are expressing your agreement to the terms of this Subscriber Agreement. VeriSign's Public Certification Services are governed by VeriSign's Certification Practice Statement (the "CPS") as amended from time to time, which is incorporated by reference into this Subscriber Agreement. The CPS is published on the Internet in VeriSign's repository at https://www.verisign.com/repository and is available via E-mail from: CPS-requests@verisign.com. Amendments to the CPS are also posted in VeriSign's repository at https://www.verisign.com/repository/updates.

YOU AGREE TO USE THE DIGITAL ID (CERTIFICATE) AND ANY RELATED IA SERVICES ONLY IN ACCORDANCE WITH THE CPS. In addition to the CPS, you agree to sections 1-7 below.

Additional Information and Terms and Conditions.

1. License Grant.

Upon issuance of your Certificate, VeriSign shall provide you with (a) a copy of your SSL Certificate, (b) software ("Seal Code") that causes the WebTrust Seal of Approval ("Seal") to be displayed at your web site, and (c) documentation explaining how to install the Seal Code ("Documentation"). The portion of the Seal displaying the word VeriSign is a VeriSign trademark ("Mark"). At the time of issuance, VeriSign shall grant you a nonexclusive license to use the Seal Code, Mark, and Documentation (collectively, "Licensed Property") only in accordance with this Subscriber Agreement. The Seal Code shall only be used on computers owned, leased, or otherwise controlled by you, or in the event of inoperability of those computers, on a backup computer selected by you. The Mark shall only be displayed by an HTML page accessible through the World Wide Web.

You may make one copy of the Seal Code on diskettes or other medium for the purpose of backup in the event that the original Seal Code is lost or destroyed. You may make one copy of the Documentation for backup purposes. Any such copies of the Licensed Property shall include VeriSign’s copyright, trademark, and other proprietary notices.

2. License Restrictions.

You shall not assign, sublicense, transfer, pledge, lease, rent, or share your rights under this Subscriber Agreement. You shall not reverse engineer, decompile, or disassemble the Seal Code, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. You shall not alter the Mark in any way, including but not limited to skewing or modifying the color, size, pattern, fonts, separating logo elements, copyright, and trademark indicators. You shall not take any action that will interfere with or diminish VeriSign´s rights in the Mark. You shall not use the Mark in any way as an endorsement, or to suggest an endorsement by VeriSign of your web site, content, products, services, or otherwise. Except as authorized under Section 1, no copies of the Licensed Property or any portions thereof shall be made by you or any other person under your authority or control.

You are prohibited from using your SSL Certificate (i) for or on behalf of any other organization, (ii) to perform private or public key operations in connection with any domain name and/or organization name other than the submitted by you during enrollment, or (iii) on more than one server at a time.

3. VeriSign’s Rights.

The Licensed Property are proprietary products of VeriSign protected under U.S. copyright and trademark law. All right, title, and interest in and to the Licensed Property including intellectual property rights, are and shall remain with VeriSign. This Subscriber Agreement does not convey to you an interest in or to the Licensed Property, but only a limited right to use, in accordance with this Subscriber Agreement.

Upon reasonable request from VeriSign, you shall notify VeriSign and provide access to the locations of your use of the Mark or furnish VeriSign with suitable specimens of your use of the Mark. VeriSign may periodically review your use of the Mark to evaluate your compliance with the terms set forth in this Subscriber Agreement. Upon reasonable notice from VeriSign, you shall either remedy any material deficiencies in your use of the Mark or be in material breach of this Subscriber Agreement.

4. Revocation. If your organizational name and/or domain name registration change, you must immediately notify VeriSign, and VeriSign shall revoke your SSL Certificate.

5. Termination.

You right to use the Licensed Property shall terminate upon the earliest of: 1) expiration of your Certificate, 2) revocation of your Certificate, 3) your failure to pass a WebTrust Assurance Examination of your web site within the previous ninety (90) days, or 4) a material breach of the CPS or this Subscriber Agreement. Upon termination of this Subscriber Agreement, you shall return to VeriSign or destroy the Licensed Property.

6. Obligations Upon Revocation or Expiration. Upon expiration or notice of revocation of your SSL Certificate, you shall permanently remove your SSL Certificate from the server on which it is installed and shall not use it for any purpose thereafter.

7. Refund.

The WebTrust Assurance Program ("Program") is offered by a third party unaffiliated with VeriSign ("Plan Sponsor"). The Plan Sponsor has entered into an agreement with VeriSign ("Master Agreement") under which VeriSign issues a SSL Certificate and provides the Seal Code and other services (collectively, "Services") to persons meeting the requirements of the Program. The Services are bundled with the Program. In the event that the Master Agreement is terminated, your SSL Certificate may be revoked. If your SSL Certificate is revoked, the Plan Sponsor (and not VeriSign) shall be responsible for either (a) transitioning the Program to a certification authority other than VeriSign and providing you with a new certificate and Seal or (b) paying you (either directly or through the entity that performed the WebTrust Assurance Examination of your web site) restitution in the amount of a pro-rated portion of the then-current price of a VeriSign Server Certificate for your SSL Certificate based on the period of the time that has elapsed at the time of revocation as a percentage of the operational period ("Operational Period") of your SSL Certificate. (For purposes of this Subscriber Agreement, the price of your SSL Certificate shall be deemed to be the then-current price of a VeriSign Server Certificate.) For example, if six (6) months elapsed in a one (1) year Operational Period of a SSL Certificate as of the date of revocation, The Plan Sponsor shall pay restitution to you in the amount of fifty percent (50%) of the price of your SSL Certificate.

OTHERWISE, THE IA PROVIDES LIMITED WARRANTIES, DISCLAIMS ALL OTHER WARANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, LIMITS LIABILITY, AND EXCLUDES ALL LIABILITY FOR INCIDENTAL, CONSEQUENTIAL, AND PUNITIVE DAMAGES AS STATED IN THE CPS. SEE THE CPS FOR IMPORTANT DETAILS.

YOU DEMONSTRATE YOUR KNOWLEDGE AND ACCEPTANCE OF THE TERMS OF THIS SUBSCRIBER AGREEMENT BY EITHER (I) SUBMITTING AN APPLICATION FOR A DIGITAL ID (CERTIFICATE) TO VERISIGN, OR (II) USING THE DIGITAL ID (CERTIFICATE), WHICHEVER OCCURS FIRST.
